- Singpass access for every proposed director and shareholder
- A proposed company name, registered office address, and financial year end
- At least one ordinarily-resident director
01
You can do every step yourself
Incorporation, tax registration, payroll accounts, and annual filings are all direct government e-services. Agents and service firms file through the same portals you can access with Singpass and Corppass. Use professionals for judgment calls — complex structures, tax positions, disputes — not for portal access.
- Every guide in this group follows the same shape: prepare in the platform, complete the legal act in the official portal, pay through the official channel, and retain the acknowledgement.
- The platform never holds government authority. Corppass authorization always names your own people.
02
Incorporate on ACRA Bizfile
ACRA’s Bizfile portal handles name reservation and incorporation in one sitting for straightforward private companies limited by shares.
- Reserve the company name (S$15). Check conflicts and referral triggers (regulated words are routed to other agencies for review).
- File the incorporation (S$300): directors, shareholders, share capital, registered office, financial year end, and company constitution (the model constitution is acceptable for most owner-managed companies).
- Choose the financial year end deliberately — it drives your ECI, annual return, and AGM deadlines for every year after.
- Appoint a company secretary within 6 months of incorporation; a sole director cannot also be the secretary.
- Download the Bizfile business profile and certificate evidence once the UEN is issued.
The registered office address and officer records must stay current — later changes are Bizfile filings with statutory deadlines, not just profile edits.
Expected result: A registered company with a UEN, visible in Bizfile, ready for Corppass setup.
03
Set up Corppass, CPF, and the bank account
Corppass is the single authorization layer for all agency digital services. Set it up immediately — every later filing depends on it.
- Register the Corppass Admin for the UEN using Singpass, then assign the agency e-services your officers need (IRAS myTax Portal, CPF EZPay, Bizfile).
- Apply for a CPF Submission Number (CSN) before the first hire; contributions are due from the first payroll month.
- Open the corporate bank account; most Singapore banks verify directors remotely with Singpass/MyInfo Business.
- Set up GIRO or PayNow Corporate for IRAS, CPF, and (if you will employ work-pass holders) MOM levy payments — statutory payments should never depend on someone remembering a transfer.
04
Decide GST registration and know your first tax dates
Not every new company registers for GST on day one; every company has income tax obligations from its first financial year.
- Register for GST when past-12-month taxable turnover exceeds S$1 million, or when you reasonably expect the next 12 months to exceed it. Voluntary registration is possible below the threshold but locks in filing duties for at least 2 years.
- Note your first Estimated Chargeable Income (ECI) deadline: 3 months after your first financial year end (a waiver applies if revenue is S$5 million or below and ECI is nil).
- Note the corporate income tax return deadline: 30 November each year of assessment.
- Record your AGM and annual return timeline: for private companies, AGM within 6 months and annual return within 7 months after financial year end.
05
Bring it into the workspace
Once the company exists, the platform becomes the operating layer: entity record, chart of accounts, compliance calendar, and agency connections.
- Create the organization workspace and complete Organization Profile with the exact legal name, UEN, and registered address from Bizfile.
- Create the legal entity in Business Admin → Corporate Secretarial and complete accounting setup in Finance settings (financial year end, GST status, reporting currency).
- Record officers, shareholders, and share capital in Corporate Secretarial so resolutions and registers generate from real data.
- Connect agency services per the “Onboard Singapore government services” guide when you are ready to file through APIs.
- Open Dashboard → Compliance Calendar and confirm the seeded obligations match your registration facts.
Expected result: The compliance calendar counts down every statutory deadline from your actual incorporation and financial year facts.
Troubleshooting
- Name application referred, not approved: a regulated word triggered another agency’s review — expect days, not minutes, and do not pay for expedition services.
- Corppass assignment exists but the agency portal rejects login: the specific e-service (not just Corppass itself) must be assigned to that user.
- Compliance calendar deadlines look wrong: re-check the financial year end and GST registration date recorded in Finance settings — every date derives from those facts.
